1. Introduction

These Terms and Conditions govern your participation in the XB2BX dropshipping wholesale program. This agreement outlines the responsibilities of both parties concerning product listings, sales, fulfilment, and payments.

2. Acceptance of Terms

By submitting products to be listed on XB2BX.com, you acknowledge that you have read, understood, and agreed to these terms. If you disagree with any provision in this Agreement, do not use our platform.

3. Wholesale Services

• Product Listings: You are responsible for providing accurate product listings, including descriptions, prices, and images, to be displayed on XB2BX.com for sale. All product information must be accurate and up-to-date.
• Order Fulfilment: Upon receiving an order through the XB2BX marketplace, you are required to fulfill the order, process payment, and ship the product directly to the customer.
• Inventory Management: You are responsible for maintaining sufficient inventory to fulfil orders placed through our platform. Failure to fulfil orders in a timely manner may result in penalties or suspension from the platform.

4. Payment Terms

• Wholesale Pricing: You will provide your products at wholesale prices, as agreed upon in the platform’s terms. The wholesale price must be competitive and reasonable.
• Payment Schedule: Payments for wholesale products will be made as per the invoicing schedule provided by XB2BX.com. All payments must be settled before the product is shipped to the customer.
• Fees and Commissions: XB2BX will charge a commission or service fee for facilitating the platform services, as outlined on the platform. This fee will be deducted from the payment you receive for each sale.

5. Shipping and Delivery

• Shipping Responsibility: You are responsible for arranging shipping and ensuring timely delivery of products to the customers. Shipping costs, as agreed upon in the wholesale pricing, will be borne by the seller or as otherwise agreed between you and XB2BX.
• Shipping Method: All products must be shipped using secure, trackable methods. XB2BX reserves the right to audit shipping practices and ensure compliance with customer service standards.
• Delivery Time: Shipping and delivery times must meet the expectations set on your product listings. Failure to meet delivery deadlines can result in customer complaints and penalties.

6. Returns and Refunds

• Return Policy: You are responsible for setting and enforcing your return and refund policy. These policies must comply with relevant consumer protection laws and must be clearly communicated to the end customer on the product pages.
• Returns Management: In the event of a return, the seller is responsible for providing a refund or replacement as per the agreed return policy.

9. Compliance with Laws

11. Limitation of Liability

• No Liability for Indirect Damages: XB2BX will not be liable for any indirect, incidental, special, or consequential damages, including lost profits or business interruptions, arising from your use of the platform.
• Product Liability: You are solely responsible for any claims or damages related to the products you sell, including product defects or safety issues.

12. Indemnification

• You agree to indemnify and hold XB2BX harmless from any claims, damages, or losses arising from your use of the platform or from any legal actions related to the products you supply.

13. Governing Law
